1. Acceptance of Terms

Welcome to AdaptSHSAT, a product made by AdaptSage. These Terms of Service govern your access to and use of our website, applications, educational services, and related features (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

If you are under the age of 18, a parent, legal guardian, school, tutoring center, or authorized educational representative must provide any consent required by applicable law before you use the Services.

2. Description of Services

AdaptSHSAT provides educational technology tools designed to help middle school students prepare for the Specialized High Schools Admissions Test (SHSAT), including:

  • Practice questions and assessments
  • Performance analytics and reporting
  • Study guides and educational resources
  • Adaptive learning recommendations
  • Progress tracking and score prediction tools
  • Parent, tutor, and educational center dashboards
  • Automated educational support features

The Services are intended solely for educational and informational purposes. AdaptSHSAT's recommendations, analytics, classifications, and score predictions are estimates and do not guarantee future academic performance, SHSAT scores, admission outcomes, or educational results.

3. Eligibility

You may use the Services only if you are legally permitted to do so, have obtained any required parental, guardian, school, or organizational authorization, the information you provide is accurate and current, and your use complies with applicable laws and regulations.

4. Account Registration

Users may create accounts as students, parents, tutors, directors, administrators, or other authorized users. You agree to provide accurate and complete information, keep login credentials confidential, promptly notify us of any unauthorized use, and be responsible for activities conducted through your account.

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms.

5. Educational Content

The educational content provided through the Services is intended to support learning and test preparation. Although we strive for accuracy and quality, AdaptSHSAT does not guarantee that educational content, assessments, explanations, recommendations, or analytics are error-free, complete, or current.

6. Student Data and Privacy

Protecting student privacy is a core priority. Our collection, use, storage, processing, and disclosure of information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

AdaptSHSAT is committed to complying with applicable federal and state privacy laws, including the Children's Online Privacy Protection Act (COPPA), the Family Educational Rights and Privacy Act (FERPA), and applicable New York student data privacy laws.

Users under age 13 may not self-register. Their access may be provisioned only after AdaptSHSAT completes a parent, guardian, school, or educational-institution authorization process permitted by applicable law.

Student information is collected and used solely for legitimate educational purposes. AdaptSHSAT does not sell student personal information and does not use student information for targeted advertising.

7. Data Retention and Deletion

AdaptSHSAT retains information only for as long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, and maintain platform operations. Authorized users may request deletion of their information. Certain information may be retained where required by law or for security purposes.

8. Acceptable Use

You agree not to use the Services for unlawful purposes, attempt to gain unauthorized access, upload malicious code, copy or distribute platform content without authorization, reverse engineer the Services, interfere with platform security, or harass other users. Violations may result in suspension or termination of access.

9. Intellectual Property

All content and technology associated with the Services are owned by AdaptSHSAT or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, AdaptSHSAT grants a limited, non-exclusive, non-transferable, revocable license to access and use the Services for authorized educational purposes.

10. Automated Content and Analytics

Certain features use automated educational systems to generate content, identify learning patterns, and provide recommendations. Automated outputs may not always be accurate, complete, or suitable for every situation. Users should not rely exclusively on automated outputs when making educational decisions.

11. Payments and Subscriptions

Paid subscriptions renew automatically for the billing period shown at checkout until canceled. The exact price and billing interval are disclosed before purchase. Payments are processed by Stripe. You can cancel or change an eligible plan through the billing portal linked from your account settings; cancellation takes effect at the end of the current paid billing period unless the checkout terms or applicable law state otherwise. Failure to pay required fees may result in suspension of paid access.

Some student accounts qualify for a reduced first month (for example, a $24 first month after completing the free diagnostic). Promotional pricing applies only to the billing period stated at checkout; later periods bill at the standard rate shown at the time of purchase.

Cancellation timing, refund eligibility, promotional pricing, failed payments, and what happens to your data after cancellation are described in our Cancellation and Refund Policy, which is incorporated into these Terms by reference.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless AdaptSHSAT, its affiliates, officers, and employees from any claims, losses, or damages (including reasonable attorney's fees) arising from your violation of these Terms, misuse of the Services, or infringement of any third-party rights. This section does not apply to claims arising from AdaptSHSAT's own negligence or willful misconduct, and does not apply to minors to the extent prohibited by applicable law.

13. Modification and Termination

AdaptSHSAT reserves the right to modify, suspend, or discontinue any part of the Services at any time. We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as an email to the address associated with your account or a prominent notice within the Services). Continued use after notice constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Services and may request account deletion.

14. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, AdaptSHSAT disclaims all warranties, express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or that use will result in any particular educational outcome.

15. Limitation of Liability

To the maximum extent permitted by law, AdaptSHSAT shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the greater of amounts paid during the twelve months preceding the claim, or one hundred U.S. dollars ($100).

16. Independent Organization Disclaimer

AdaptSHSAT is an independent educational technology platform. AdaptSHSAT is not affiliated with, endorsed by, sponsored by, authorized by, or otherwise associated with the SHSAT, New York City Public Schools, the NYC Department of Education, any specialized high school, or any governmental entity. All trademarks belong to their respective owners.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising under these Terms shall first be addressed through good-faith negotiation. If the dispute cannot be resolved informally within thirty (30) days, it shall be resolved exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction and venue of such courts.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies incorporated by reference, constitute the entire agreement between you and AdaptSHSAT regarding the Services.
